Terms of Service

These Terms of Service (“Terms”) govern your access to and use of CoatBid (the “Service”), a web application that helps floor-coating contractors estimate materials, build branded proposals, and collect electronic signatures. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

CoatBid provides material-takeoff calculations, proposal generation, and an electronic-signature workflow. Material quantities, coverage rates, and pricing are estimates generated from published coverage ranges and the values you enter. They are provided for convenience only and are not a substitute for your professional judgment.

2. Accounts

You sign in with a one-time email link. You are responsible for the accuracy of your account and business information, for keeping access to your email account secure, and for all activity under your account. You must be at least 18 years old and authorized to enter agreements on behalf of your business.

3. Subscription & billing

CoatBid is offered on a subscription basis ($49/month or $490/year), with a 14-day free trial that requires no credit card. Paid plans are billed through Stripe. You can cancel at any time; cancellation stops future renewals, and you retain access through the end of your current billing period. Except where required by law, payments are non-refundable.

4. Your content and estimates

You retain ownership of the information you enter — your branding, customer details, measurements, pricing, and proposals (“Your Content”). You grant CoatBid a limited license to store and process Your Content solely to provide the Service. You are solely responsible for verifying all material quantities and coverage figures against your products' technical data sheets (TDS) before ordering or quoting. CoatBid is not responsible for material shortfalls, overages, mis-quotes, or job outcomes.

5. Electronic signatures

CoatBid provides an electronic-signature mechanism intended to comply with the U.S. ESIGN Act and UETA, recording the signer's typed name, email, IP address, and timestamp. You are responsible for the contents of the agreements you send, for confirming that electronic signing is appropriate for your transaction, and for retaining your own records. CoatBid is a tool, not a party to your contracts.

6. Acceptable use

You agree not to misuse the Service: no unlawful, fraudulent, infringing, or abusive use; no reverse-engineering, scraping, or attempting to breach security; and no use that overburdens or harms the Service or other users.

7. Third-party services

The Service relies on third parties including Supabase (hosting and database), Stripe (payments), and Resend (email delivery). Your use of the Service is also subject to those providers' terms.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CoatBid does not warrant that estimates are accurate or that the Service will be uninterrupted or error-free.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COATBID WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. COATBID'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID COATBID IN THE 12 MONTHS BEFORE THE CLAIM.

10. Indemnification

You agree to indemnify and hold CoatBid harmless from claims arising out of Your Content, your proposals and agreements with your customers, or your violation of these Terms.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service. Upon termination, your right to use the Service ends.

12. Changes

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date; continued use after changes constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of [your state], without regard to conflict-of-laws rules.
